Antitrust Authorities Approve Siemens' Acquisition of Bayer Diagnostics October 31, 2006 Munich, Germany, October 31, 2006 – Siemens has been given the green light to acquire the diagnostics division of Bayer Healthcare without restrictions. The approval was granted today by the European Commission, following the earlier approval by U.S. antitrust authorities at the beginning of October. Siemens to acquire Bayer diagnostics arm - Medical Solutions Group further expands position in key high-growth molecular diagnostics market

Munich, June 29, 2006 - Siemens has signed an agreement with Bayer to acquire the chemical and pharmaceutical company’s Diagnostics Division. The acquisition will enable Siemens Medical Solutions (Med) to expand its position in the high-growth molecular diagnostics market. At the end of April, Siemens announced the planned acquisition of Diagnostic Products Corporation (DPC) in the U.S., a leading company in immunodiagnostics.
The purchase price for Bayer HealthCare Diagnostics – which had sales of €1.4 billion and
a double-digit profit margin in fiscal 2005 – is roughly €4.2 billion.

ERLANGEN, GERMANY and LOS ANGELES, April 27, 2006 — Siemens and Diagnostic Products Corporation (DPC) announced today that they have entered into a merger agreement under which Siemens will acquire DPC for approximately $1.86 billion. DPC is one of the global leaders in immunodiagnostics, focusing on developing, manufacturing and distributing automated body fluid analyzers and tests, such as those related to cancer and cardiac disease, as well as hormone and allergy conditions. Through its presence in more than 100 countries, DPC offers comprehensive immunodiagnostic solutions to hospitals, clinics and laboratories across the globe.
